Welcome to Milonics! We’re excited that you’re here. In order for us to provide you with insurance services, we ask that you carefully review and abide by these Terms of Service. We know that legal documents can sometimes be a pain to read, but we’ve done our best to simplify our documents so that they’re easier to understand.

This document is split into four short sections:

Introduction

What are the Terms of Service?

These Terms of Service (“Terms”) constitute a contract formed between you and us. By using the “Milonics Service”— which includes the use of the website/API (“platform”) – “www.Milonics.com” you agree to abide by these terms. The terms include the provisions in this document, the Privacy Policy, User Guidelines and any other referenced documents.

Who are the parties involved in the Terms of Service?

You make up one party in the contract. “You” or “your” refers to you, as the User. The other party in the contract is Milonics Technologies Limited. Throughout the Terms, Milonics Technologies Limited may be referred to as “Milonics” “we”, “our” or “us.” For clarity, many of the headers in this document are phrased as questions from the Milonics User to us and represented with “I” or “my”. This is for convenience only and has no legal or contractual effect.

Will the Terms of Service ever change?

As the product and business environment changes we may need to update these Terms in order to best deliver our service. When we make material changes to the Terms, we’ll provide you with a prominent notice as appropriate under the circumstances, e.g., by displaying a notice on Milonics website or by sending you an email. By continuing to use our service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you must stop using the Milonics Service.

Your content

How is my content used?

In order to provide to you with our service, it is necessary that we collect some content about you. Accordingly, you grant us a royalty-free, license to use, store, display, reproduce, modify your content solely (except as provided below) for the purpose of providing you with the our service. We reserve the right to remove or modify your content for any reason, including the content that we believe violates these Terms or our policies. To the extent that we acquire any rights in relation to the information that constitutes your Content by your provision of that Content to us, you acknowledge and agree that we may either hold those rights ourselves or jointly with one or more of our partners. By using the Milonics Service, you grant Milonics the right to:

  1. share anonymized Content to Milonics partners, vendors and customers. Anonymized Content is content that does not personally identify you: it has been anonymized, either by aggregating that data with other Milonics Users or by removing personally identifiable information from the Content; and
  2. share your Content (including Personal Content, as defined below) with our partners for the purposes of administering cover you purchase. No Personal Content is shared with partners unless you decide to purchase cover.

How does Milonics handle my Personal Content?

Personal Content is content added to Milonics platform that personally identifies you. Milonics does not share Personal Content except when required to provide our service or administer any cover you purchase, subject to very limited exceptions. See our Privacy Policy for more information.

Using the Milonics service

In order to provide to you with our service, it is necessary that we By using the Milonics Service, you agree to be bound by these Terms, and to use the Milonics Service only within these Terms. You also may only use the Milonics Service if you have the ability to form a contract with us, and are not prohibited from entering into a contract with us by any applicable laws. The Milonics Service is not intended for use by you if you are under 18 years of age. By agreeing to these Terms, you are representing to us that you are over 18. You agree that we may make changes to the Milonics Service from time to time and automatically update any software associated with the Milonics Service, and these Terms will apply to the Milonics Service and such updates following any such change.

Are there rules about how I use the Milonics Service?

As a user of the Milonics Service, we expect that you behave responsibly. Your use of the Milonics Service is subject to our User Guidelines.

Other legal details

Exclusive Rights to Site Content

All content on the Site, including but not limited to designs, text, graphics, pictures, video, information, and their selection and arrangement, are the copyright or registered trademarks of Milonics Technologies Ltd. You may not copy, imitate or use them without our prior written consent. Provided that you are eligible for use of the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Site Content solely for your personal use, provided that you keep all copyright or other proprietary notices intact. Except for your own User Content, you may not republish Site Content on any Internet or incorporate the information in any other database or compilation, and any other use of the Site Content is strictly prohibited.

Limitation of Liability

To the extent permitted by law we shall not be liable to you or any third party for special, indirect, punitive, exemplary, or consequential damages, including lost profits, revenues or savings, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, even if we have been advised of the possibility of such damages in advance, and even if a limited remedy set forth herein is found to have failed of its essential purpose. To the extent permitted by law, our liability for damages to you or any third party shall not exceed, in the aggregate, the amount of three thousand naira (#3,000). You acknowledge that the limitations on liability in this section are reasonable and that the provisions of this section allocate the risks under this agreement between us, our partners and you, and that the parties have relied upon the limitations set forth herein in determining whether to enter into this agreement. To the extent permitted by law, the remedies provided to you in this agreement are exclusive.

Consent to Electronic Transactions

Milonics operates on the Internet, and it is necessary to consent to transact business with us online and electronically if you choose to purchase insurance cover. As part of doing business with us, you also consent to our giving certain disclosures electronically either via email address you provide to us or via our site. By agreeing to the Terms of Use, you consent to receive electronically all documents, communications, notices, contracts and agreement arising from relating to your use of website and Milonics service

Indemnification

To the extent permitted by law, you agree to release, defend, indemnify, and hold Milonics, its affiliates and partners harmless from any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (a) your access to or use of the Milonics Service or your violation of the Terms or any applicable law; (b) your Content; and (c) your use of third party services

Dispute Resolution and Applicable Law

These Terms of Use and all other aspects of your use of the Site shall be governed by the laws of the Federal Republic of Nigeria Any dispute arising from this agreement which cannot be settled by mutual agreement/negotiation within 30 days shall be referred by arbitration by a single arbitrator of the Lagos Court of Arbitration (LCA) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by the parties, where Parties –are unable to agree on the choice of an arbitrator, the choice of arbitrator shall be referred to LCA. The findings of the arbitrator and subsequent award shall be binding on the parties and may be enforced through a Nigerian Court of law. Each party shall bear its cost in

Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the Agreement shall remain in full force and effect.

Wavier

Failure by Milonics to enforce any of its rights under these Terms of Use shall not be construed as a waiver of those rights or any other rights in any way whatsoever
